Terms of Service

These Terms of Service constitute a legally binding agreement between you and Arche Research concerning your access to and use of the Arche Research website, products, communications, ordering systems, and related services.

In these Terms:

  • “Arche Research,” “we,” “us,” and “our” refer to Arche Research and its owners, operators, employees, contractors, agents, successors, and assigns, as applicable.
  • “Website” means the Arche Research website and any pages, storefronts, order forms, accounts, communications, or services operated by or on behalf of Arche Research.
  • “Products” means all materials, compounds, reference materials, research supplies, accessories, packaging, and other goods offered or supplied by Arche Research.
  • “Purchaser,” “you,” and “your” refer to the person or organization accessing the Website, submitting an order, making payment, receiving Products, or otherwise interacting with Arche Research.
  • “Order” means any purchase request accepted and fulfilled by Arche Research, regardless of whether the request or payment is submitted through the Website or another authorized channel.

1. Acceptance of These Terms

By accessing the Website, creating an account, submitting an Order, sending payment, accepting delivery, or otherwise obtaining or using Products from Arche Research, you acknowledge that you have read, understood, and agreed to these Terms.

If you submit an Order or act on behalf of an organization, laboratory, company, institution, or other entity, you represent and warrant that:

  • You have authority to bind that entity;
  • The entity agrees to these Terms; and
  • References to “you” include both you individually and the entity you represent.

You may not use the Website or purchase Products if you do not agree to these Terms.

Certain provisions, including the arbitration agreement and class-action waiver, affect your legal rights. Please review them carefully.

2. Eligibility

To access the Website or purchase Products, you represent and warrant that:

  • You are at least 21 years old;
  • You have legal capacity to enter into a binding agreement;
  • You are not prohibited by law from purchasing, possessing, receiving, transporting, or using the Products;
  • You are acting for a lawful research, analytical, educational, manufacturing, or commercial purpose and not for personal, family, household, medical, therapeutic, diagnostic, or veterinary use;
  • You possess the training, qualifications, facilities, equipment, procedures, and supervision reasonably necessary to handle the Products safely and lawfully; and
  • All information you provide is accurate, complete, current, and not misleading.

We may refuse, cancel, limit, or investigate any transaction when we cannot verify eligibility or when circumstances indicate possible misuse, fraud, diversion, unlawful activity, or violation of these Terms.

3. Research-Use Restriction

Unless expressly stated otherwise in writing by Arche Research, all Products are offered strictly for lawful laboratory research, analytical, educational, or other non-clinical purposes.

Products are not intended, manufactured, labeled, represented, or sold for:

  • Human consumption
  • Human administration
  • Veterinary consumption or administration
  • Therapeutic use
  • Preventive use
  • Diagnostic use
  • Treatment of any disease, condition, injury, or symptom
  • Compounding, dispensing, or preparation as a drug, medicine, food, cosmetic, dietary supplement, or consumer product
  • Use in or on any person or animal
  • Clinical investigation or patient care
  • Household or recreational use

The designation “research use only” does not authorize any activity prohibited by law and does not make an otherwise unlawful application permissible.

You must not rely on any Product name, description, chemical identity, research summary, analytical report, published study, third-party statement, or other information as evidence that a Product is safe, effective, approved, suitable, or lawful for administration to humans or animals.

4. Purchaser Representations and Responsibilities

By placing an Order, you represent, warrant, and agree that:

  • The Products will be used exclusively for lawful purposes;
  • The Products will be handled only by qualified and properly trained persons;
  • You will obtain all licenses, permits, registrations, approvals, protocols, institutional authorizations, and other permissions required for your activities;
  • You will comply with all applicable federal, state, local, and international laws, rules, regulations, standards, and institutional requirements;
  • You will maintain appropriate facilities, storage systems, protective equipment, security, records, disposal procedures, and emergency protocols;
  • You will independently evaluate the identity, suitability, handling requirements, hazards, and legal status of each Product;
  • You will review available safety data and conduct an appropriate risk assessment before handling any Product;
  • You will not represent that any Product is approved, endorsed, certified, or evaluated by the United States Food and Drug Administration or another regulator unless Arche Research expressly provides written evidence of that status;
  • You will not provide any Product to an unqualified or unauthorized person;
  • You will not relabel, market, advertise, or distribute Products for human or veterinary use;
  • You will not use Arche Research materials to make medical, therapeutic, diagnostic, performance, weight-loss, anti-aging, or other health claims;
  • You will not circumvent purchase limits, account restrictions, verification procedures, or other safeguards; and
  • You will notify Arche Research promptly if you become aware of suspected diversion, misuse, unauthorized access, or unlawful activity involving an Order.

You assume full responsibility for determining whether your possession, transport, storage, research, transfer, resale, export, import, or use of a Product is lawful and appropriate.

Arche Research does not authorize, supervise, direct, control, or approve your research or use of any Product.

5. Refusal of Service and Order Review

Arche Research may, in its sole discretion and to the fullest extent permitted by law:

  • Refuse access to the Website;
  • Reject an Order;
  • Limit quantities;
  • Require identity, business, research-purpose, payment, or address verification;
  • Request supporting documentation;
  • Place an Order on hold;
  • Cancel an unfulfilled Order;
  • Decline a payment method;
  • Restrict or terminate an account;
  • Refuse future transactions; or
  • Report suspected fraud or unlawful conduct to an affected carrier, payment provider, financial institution, insurer, platform, regulator, or law-enforcement authority.

We are not required to disclose internal fraud controls, risk criteria, investigation methods, inventory practices, supplier information, or the specific reason for refusing a transaction, except where disclosure is required by law.

An automated order confirmation acknowledges receipt only. It does not constitute acceptance of the Order. An Order is accepted only when Arche Research expressly confirms acceptance or begins fulfillment.

6. Product Information

We attempt to provide accurate Product names, descriptions, quantities, concentrations, strengths, images, availability information, specifications, and supporting documentation. However, Product information may contain typographical errors, technical variations, incomplete information, or differences resulting from manufacturing, testing, packaging, photography, display settings, or supplier documentation.

Product images are illustrative and may not reflect the exact container, cap, fill appearance, label placement, packaging, color, texture, or physical appearance received.

Unless expressly guaranteed in a signed writing by an authorized representative of Arche Research:

  • Product descriptions are not specifications for a purchaser-specific application;
  • Published research does not establish the performance of a particular Product or lot;
  • A certificate of analysis applies only within its stated scope, method, sample, laboratory, date, and limitations;
  • Different analytical methods may produce different results;
  • Purity does not independently establish identity, quantity, sterility, endotoxin level, stability, biological activity, or fitness for a particular purpose;
  • Nominal fill quantity may be subject to reasonable analytical or manufacturing variation;
  • Appearance alone does not establish identity, purity, quantity, stability, or suitability; and
  • No Product is guaranteed to produce a particular experimental result.

You are responsible for conducting any identity, purity, quantity, sterility, endotoxin, stability, compatibility, activity, or other testing required for your work.

7. No Professional or Scientific Advice

Content made available through the Website or Arche Research communications is provided for general informational and commercial purposes only.

Nothing provided by Arche Research constitutes:

  • Medical advice
  • Veterinary advice
  • Pharmaceutical advice
  • Diagnostic advice
  • Treatment advice
  • Legal advice
  • Regulatory advice
  • Safety certification
  • Experimental protocol approval
  • Institutional approval
  • A recommendation to administer or consume any Product
  • A substitute for consultation with a qualified professional

References to scientific literature, mechanisms, study findings, investigational uses, or research topics are not instructions for use and do not constitute an endorsement or representation that any use is safe, lawful, effective, validated, or appropriate.

8. Prices and Availability

Prices, quantities, promotions, Product offerings, specifications, and availability may change without notice.

We may correct pricing, inventory, description, or calculation errors at any time before fulfillment. If an accepted Order contains a material pricing or listing error, we may:

  • Cancel and refund the affected portion;
  • Contact you for approval of a corrected amount; or
  • Offer a reasonable substitute with your consent.

We are not obligated to fulfill an Order at an obviously erroneous price.

Products may be limited, discontinued, substituted, delayed, or unavailable. Placement of an Order does not reserve inventory until the Order is accepted and payment requirements are satisfied.

9. Payments

You agree to pay the full amount presented and accepted for each Order, including applicable Product charges, shipping charges, taxes, payment fees, and other disclosed amounts.

Payment may be accepted through the Website or another payment method specifically authorized by Arche Research. Third-party payment providers operate under their own terms and privacy practices.

You are responsible for:

  • Verifying the payment destination before sending funds;
  • Entering correct payment information;
  • Paying all network, exchange, transfer, wallet, platform, or processing fees;
  • Using a payment account or wallet you are authorized to use;
  • Providing an accurate payment reference when requested; and
  • Ensuring Arche Research receives the full required amount.

Cryptocurrency Payments

Cryptocurrency transactions are generally irreversible.

For cryptocurrency payments:

  • An Order is not paid until the required amount is received at the wallet address designated by Arche Research and receives any required network confirmations;
  • You bear the risk of sending funds to an incorrect address, using an incorrect network, sending an unsupported asset, omitting required fees, or otherwise transmitting payment incorrectly;
  • Cryptocurrency price fluctuations occurring before payment confirmation do not alter the amount due unless Arche Research agrees otherwise;
  • Any approved refund may be calculated in United States dollars based on the Order value rather than the quantity or subsequent market value of cryptocurrency originally transmitted;
  • Refund transaction fees may be deducted when permitted by law and disclosed; and
  • Arche Research is not responsible for blockchain congestion, protocol errors, wallet failures, exchange restrictions, or third-party custody problems.

Do not send cryptocurrency to an address obtained from an unverified message, comment, social-media profile, or unrelated third party.

Third-Party Payment Applications

When payment is made through Cash App, another payment application, bank transfer, or similar service, you must verify that the account details were provided through an authorized Arche Research channel.

Arche Research is not responsible for payments sent to an incorrect, impersonated, outdated, or unauthorized recipient.

10. Taxes

You are responsible for all sales, use, excise, customs, import, export, value-added, withholding, and similar taxes or government charges associated with an Order, except taxes imposed directly on Arche Research’s net income.

When required, Arche Research may collect and remit applicable taxes.

A purchaser claiming exemption must provide valid and complete exemption documentation before the Order is processed. We may reject documentation that is incomplete, expired, inconsistent, or legally insufficient.

11. Shipping and Delivery

Shipping dates and delivery dates are estimates unless Arche Research expressly provides a written guarantee.

You are responsible for providing a complete, accurate, and serviceable shipping destination. Arche Research is not responsible for delay, return, loss, or misdelivery caused by inaccurate information, restricted access, carrier instructions supplied by the recipient, refusal, failure to retrieve a shipment, or circumstances occurring after confirmed delivery.

Risk of loss transfers to the purchaser when the carrier records the shipment as delivered, subject to:

  • Our Returns, Refunds & Shipping Claims Policy;
  • Any written agreement expressly made by Arche Research; and
  • Rights that cannot legally be waived.

Carrier tracking is the primary evidence of transit and delivery status.

Arche Research may select the carrier and shipping service unless otherwise agreed. Carrier names, transit estimates, tracking updates, and delivery windows are provided for convenience and are not warranties by Arche Research.

You must comply with our Returns, Refunds & Shipping Claims Policy when reporting damage, shortage, fulfillment errors, or carrier loss. That policy is incorporated into these Terms by reference.

12. Inspection and Claims

You must inspect each shipment promptly after delivery.

Visible damage, missing Products, incorrect Products, quantity discrepancies, and other apparent fulfillment issues must be reported within the periods stated in the Returns, Refunds & Shipping Claims Policy.

Failure to submit a timely and properly documented claim may constitute acceptance of the shipment to the fullest extent permitted by law.

You must preserve Products, containers, labels, cartons, shipping labels, padding, insulation, photographs, recordings, and other relevant evidence until the claim is closed.

No Product may be returned without prior written authorization.

13. Returns and Refunds

All sales are final except as expressly stated in the Returns, Refunds & Shipping Claims Policy or required by law.

Because Arche Research cannot verify the storage, handling, security, integrity, temperature exposure, contamination status, or chain of custody of Products after they leave our control, returned Products ordinarily cannot be restocked or resold.

Arche Research may deny any unauthorized return.

When a claim is approved, the available remedy may be limited to:

  • Replacement of the affected Product;
  • Store credit; or
  • Refund of the amount paid for the affected Product.

Except where otherwise required by law, Arche Research may select the remedy.

No purchaser may obtain more than one recovery for the same loss through Arche Research, a carrier, payment provider, insurer, financial institution, cryptocurrency platform, or other source.

14. Chargebacks and Payment Disputes

Before initiating a payment dispute, reversal, chargeback, platform claim, or similar process, you agree to contact Arche Research and provide a reasonable opportunity to investigate and address the issue.

Nothing in this section prohibits a good-faith exercise of rights provided by law or by an applicable payment provider.

However, a payment dispute may be considered unauthorized or abusive when it:

  • Contradicts tracking, delivery, fulfillment, or communication records;
  • Seeks recovery for a transaction the purchaser authorized and received;
  • Mischaracterizes the nature of the transaction;
  • Omits material communications or evidence;
  • Seeks duplicate compensation;
  • Is initiated after an agreed remedy has been provided;
  • Is used to avoid the claim procedures in these Terms; or
  • Contains false or misleading statements.

When legally permitted, Arche Research may respond to a payment dispute by submitting order records, communications, tracking, delivery evidence, verification information, security records, and these Terms to the payment provider.

We may suspend or terminate accounts associated with abusive disputes and may recover unpaid amounts, returned funds, carrier charges, investigation costs, collection costs, and other losses to the extent permitted by law.

15. Prohibited Conduct

You may not:

  • Use Products for human or veterinary administration, consumption, diagnosis, prevention, or treatment;
  • Purchase Products for another person’s unauthorized use;
  • Misrepresent your identity, organization, qualifications, intended use, location, age, or authority;
  • Use a false, stolen, or unauthorized payment method;
  • Circumvent Product limits, account restrictions, geographic restrictions, or verification procedures;
  • Create multiple accounts to avoid restrictions;
  • Resell or redistribute Products for any prohibited purpose;
  • Remove, obscure, replace, or falsify Product labels, lot information, warnings, or research-use statements;
  • Represent Products as approved drugs, medicines, treatments, dietary supplements, cosmetics, foods, or veterinary products;
  • Make false health, therapeutic, diagnostic, efficacy, or regulatory claims using Arche Research Products, branding, documents, or content;
  • Submit false claims, fabricated photographs, altered video, forged documents, or misleading carrier information;
  • Attempt to obtain duplicate refunds, replacements, credits, or reimbursements;
  • Introduce malware, interfere with the Website, scrape restricted content, bypass security controls, or gain unauthorized access;
  • Impersonate Arche Research or an Arche Research representative;
  • Use our names, logos, photographs, labels, or content in a manner likely to confuse others about affiliation or authorization;
  • Engage in conduct that exposes Arche Research, its suppliers, carriers, service providers, or others to legal, regulatory, financial, or reputational risk; or
  • Use the Website or Products in violation of applicable law.

16. Resale and Transfer

Products may not be resold, redistributed, transferred, exported, relabeled, repackaged, or incorporated into another product for human or veterinary use.

Unless Arche Research provides written authorization, you may not represent yourself as:

  • An authorized Arche Research distributor;
  • An Arche Research partner;
  • An Arche Research laboratory;
  • An agent or representative of Arche Research; or
  • A person authorized to make warranties or statements on our behalf.

Any resale or transfer must comply with all applicable laws and preserve all required labels, warnings, lot identifiers, storage information, and research-use restrictions.

The original purchaser remains responsible for foreseeable claims, losses, and violations arising from an unauthorized resale, transfer, relabeling, or diversion.

17. Intellectual Property

The Website and its content, including names, trademarks, logos, graphics, labels, Product photographs, text, page layouts, designs, databases, software, and original materials, are owned by or licensed to Arche Research and are protected by applicable intellectual-property laws.

Subject to these Terms, Arche Research grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Website for evaluating and purchasing Products.

You may not:

  • Copy, reproduce, modify, distribute, sell, license, publish, or commercially exploit protected content;
  • Remove copyright, trademark, or ownership notices;
  • Create confusingly similar branding or website content;
  • Use Arche Research branding to advertise unauthorized resale;
  • Frame or mirror the Website;
  • Reverse engineer Website software;
  • Use automated systems to extract substantial Website content; or
  • Suggest sponsorship, approval, partnership, or affiliation without written permission.

No rights are granted except those expressly stated.

18. User Communications and Submitted Materials

When you submit photographs, videos, documents, reviews, feedback, claim evidence, or other materials, you represent that:

  • You have the right to submit them;
  • They are accurate and authentic;
  • They do not violate another person’s rights;
  • Their submission does not violate law or confidentiality obligations; and
  • They do not contain malicious code.

You grant Arche Research a nonexclusive, worldwide, royalty-free license to store, reproduce, review, transmit, and use submitted materials as reasonably necessary to:

  • Process an Order;
  • Investigate a claim;
  • Respond to a dispute;
  • Prevent fraud;
  • Enforce these Terms;
  • Communicate with carriers and service providers;
  • Meet legal or regulatory obligations; and
  • Protect Arche Research and others.

This license does not transfer ownership of your materials.

Nothing in these Terms prohibits an honest review or lawful consumer evaluation. Arche Research may address reviews that disclose confidential information, contain unlawful content, impersonate another person, or make demonstrably false factual assertions through lawful channels.

19. Third-Party Services and Links

The Website may link to or rely on third-party services, including payment providers, carriers, hosting providers, analytics tools, cryptocurrency networks, communication platforms, and external publications.

Arche Research does not control and is not responsible for:

  • Third-party availability;
  • Third-party security;
  • Third-party content;
  • Third-party representations;
  • Third-party fees;
  • Third-party privacy practices;
  • Carrier operations;
  • Payment-provider decisions;
  • Blockchain operation; or
  • External websites.

Use of a third-party service is subject to that provider’s terms.

A link, citation, integration, or reference does not constitute endorsement.

20. Account Security

You are responsible for maintaining the confidentiality of account credentials and for all activity conducted through your account.

You must promptly notify Arche Research of suspected unauthorized access or use.

We may rely on instructions received through an authenticated account or verified contact method unless we have actual notice that the account has been compromised.

We may suspend access while investigating a security concern.

21. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, PRODUCTS, CONTENT, DOCUMENTATION, AND SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”

ARCHE RESEARCH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, QUIET ENJOYMENT, COURSE OF DEALING, USAGE OF TRADE, AND RESULTS.

Without limiting the foregoing, Arche Research does not warrant that:

  • The Website will be uninterrupted, secure, current, or error-free;
  • Product information will be free of typographical or technical errors;
  • A Product is suitable for any purchaser-specific protocol or purpose;
  • A Product will produce any particular experimental result;
  • A Product is sterile, pyrogen-free, endotoxin-free, pathogen-free, clinical grade, pharmaceutical grade, or suitable for administration unless expressly stated in a signed written warranty;
  • Analytical results obtained by one method or laboratory will be reproduced by another;
  • A Product will remain stable under conditions selected by the purchaser;
  • Research literature applies to the Product, lot, formulation, concentration, or conditions supplied;
  • Products are approved for human, veterinary, therapeutic, diagnostic, or clinical use; or
  • Any use contemplated by the purchaser is lawful.

No oral statement, email, message, advertisement, customer-service communication, Product description, published study, or informal representation creates a warranty unless expressly identified as a warranty in a written agreement signed by an authorized representative of Arche Research.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, the exclusions apply only to the maximum extent permitted by law.

22. Exclusive Remedy

To the maximum extent permitted by law, your sole and exclusive remedy for a Product that Arche Research confirms was materially nonconforming when delivered is the remedy selected under the Returns, Refunds & Shipping Claims Policy:

  • Replacement;
  • Store credit; or
  • Refund of the purchase price paid for the affected Product.

This exclusive remedy does not include:

  • Research expenses;
  • Testing expenses;
  • Labor;
  • Lost samples;
  • Lost data;
  • Lost production;
  • Lost opportunity;
  • Lost revenue;
  • Lost profit;
  • Replacement materials obtained elsewhere;
  • Business interruption;
  • Regulatory costs;
  • Consequential losses; or
  • Damages resulting from handling or use.

If applicable law determines that an exclusive remedy fails of its essential purpose, all other exclusions and limitations in these Terms remain effective to the fullest extent permitted by law.

23. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCHE RESEARCH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, ENHANCED, CONSEQUENTIAL, OR RELIANCE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST OPPORTUNITY, LOST DATA, LOST SAMPLES, LOST RESEARCH, BUSINESS INTERRUPTION, PROCUREMENT OF SUBSTITUTE GOODS, REPUTATIONAL HARM, OR REGULATORY CONSEQUENCES.

This limitation applies regardless of:

  • The legal theory asserted;
  • Whether the claim sounds in contract, warranty, tort, negligence, strict liability, statute, misrepresentation, restitution, or otherwise;
  • Whether damages were foreseeable;
  • Whether Arche Research was advised that such damages were possible; and
  • Whether a limited remedy fails of its essential purpose.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCHE RESEARCH’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO A PRODUCT, ORDER, TRANSACTION, OR THESE TERMS WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO ARCHE RESEARCH FOR THE SPECIFIC PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

The limitations in this section do not apply to liability that cannot legally be excluded or limited.

24. Assumption of Risk

You acknowledge that chemical, biological, analytical, and research materials may involve known and unknown hazards.

You voluntarily assume all risks associated with:

  • Selecting Products;
  • Determining their legal status;
  • Receiving and securing shipments;
  • Storage;
  • Handling;
  • Preparation;
  • Reconstitution;
  • Transfer;
  • Testing;
  • Combination;
  • Research use;
  • Disposal;
  • Resale or redistribution;
  • Personnel exposure;
  • Facility contamination;
  • Equipment damage;
  • Environmental release; and
  • Failure to follow appropriate procedures.

You are solely responsible for establishing appropriate controls, procedures, supervision, ventilation, containment, protective equipment, storage, waste handling, emergency response, and incident reporting.

25. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Arche Research and its owners, employees, contractors, agents, suppliers, service providers, successors, and assigns from and against claims, demands, investigations, actions, liabilities, judgments, settlements, penalties, fines, losses, damages, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:

  • Your breach of these Terms;
  • Your violation of law;
  • Your purchase, possession, transport, storage, handling, testing, use, disposal, resale, transfer, export, import, relabeling, or redistribution of Products;
  • Human or veterinary administration or use;
  • Statements, representations, claims, labels, or advertisements made by you;
  • Your failure to obtain required approvals or authorizations;
  • Injury, death, contamination, property damage, or environmental harm associated with your conduct;
  • Fraudulent or abusive claims or payment disputes;
  • Materials you submit;
  • Your infringement of another party’s rights; or
  • Conduct by any person obtaining Products through you.

You may not settle a covered claim in a manner that admits wrongdoing by, imposes obligations on, or restricts Arche Research without our prior written consent.

Arche Research may assume control of the defense of a covered claim at your expense when reasonably necessary to protect its interests.

26. Release

To the maximum extent permitted by law, you release Arche Research from claims arising from:

  • Your unauthorized or prohibited use of Products;
  • Conduct by carriers or payment providers;
  • Theft or loss after confirmed delivery;
  • Payment sent to an incorrect or unauthorized destination;
  • Activities of third-party laboratories, suppliers, researchers, recipients, or resellers;
  • Research outcomes;
  • Conditions outside Arche Research’s control; and
  • Disputes between you and another person or organization.

This release does not apply to rights that cannot legally be waived.

27. Force Majeure

Arche Research is not liable for delay or failure caused by circumstances beyond its reasonable control, including:

  • Natural disasters
  • Severe weather
  • Fire
  • Flood
  • Epidemic or public-health emergency
  • War
  • Terrorism
  • Civil disorder
  • Government action
  • Embargo
  • Sanctions
  • Labor disruption
  • Transportation interruption
  • Carrier delay
  • Utility failure
  • Internet or hosting failure
  • Cyberattack
  • Supplier interruption
  • Material shortage
  • Equipment failure
  • Blockchain congestion
  • Payment-network disruption
  • Regulatory change
  • Customs action

Performance will be excused for the duration and extent of the interfering event, subject to obligations that applicable law does not permit us to avoid.

28. Compliance, Sanctions, Export, and Import Controls

You are responsible for complying with laws governing:

  • Purchase and possession
  • Chemical or biological materials
  • Research activities
  • Dangerous goods
  • Transportation
  • Export
  • Re-export
  • Import
  • Customs
  • Sanctions
  • Restricted parties
  • Recordkeeping
  • Waste disposal

You may not purchase or transfer Products in violation of applicable trade restrictions, sanctions, embargoes, export controls, or import requirements.

Arche Research may request end-user, end-use, destination, identity, or organizational information and may cancel a transaction when compliance cannot be verified.

29. Privacy

Our collection, use, storage, and disclosure of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.

Information may also be processed by payment providers, carriers, hosting providers, security vendors, analytics providers, and other service providers under their own terms.

30. Electronic Communications and Signatures

You consent to receive agreements, disclosures, notices, invoices, Order information, policy updates, and other communications electronically.

You agree that electronic actions—including checking an acceptance box, submitting an Order, making payment, creating an account, or communicating approval—may constitute your signature and agreement.

You are responsible for maintaining a valid email address and reviewing communications sent to the contact information associated with your Order or account.

Electronic records may be retained and used as evidence of the transaction and your acceptance.

31. Informal Dispute Resolution

Before initiating arbitration or litigation, the claimant must send a written Notice of Dispute containing:

  • The claimant’s full name and organization, if applicable;
  • Order number;
  • Contact information;
  • A detailed description of the dispute;
  • Relevant documents;
  • The specific relief requested; and
  • A personally signed statement that the information is accurate.

The notice must be sent through the contact method designated for legal notices on the Website.

The parties will attempt in good faith to resolve the dispute for at least 30 days after receipt of a complete notice.

This process is a condition precedent to arbitration or litigation to the extent permitted by law. Any applicable limitations period will be tolled during the 30-day informal-resolution period when required to preserve a lawful claim.

32. Binding Individual Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED THROUGH INDIVIDUAL ARBITRATION RATHER THAN IN COURT.

Except for matters identified below, any dispute, claim, or controversy arising from or relating to:

  • These Terms;
  • The Website;
  • An Order;
  • A Product;
  • Payment;
  • Shipping;
  • Communications;
  • Marketing;
  • A refund or claim;
  • Privacy;
  • The relationship between you and Arche Research; or
  • The validity, interpretation, scope, or enforceability of this arbitration agreement

will be resolved by final and binding individual arbitration.

The arbitration agreement is governed by the Federal Arbitration Act and, where applicable, Texas arbitration law.

The arbitration will be administered by the American Arbitration Association under the rules applicable to the dispute, unless the parties agree in writing to another administrator.

The arbitrator may award any individual remedy available under applicable law but may not:

  • Consolidate claims of different persons;
  • Conduct a class, collective, coordinated, consolidated, mass, private-attorney-general, or representative proceeding; or
  • Award relief for anyone other than the individual parties to the arbitration.

Questions concerning whether a particular claim must be arbitrated will be decided by the arbitrator, except that a court of competent jurisdiction will decide the enforceability of the class-action waiver and any challenge directed specifically to that waiver.

The arbitration may be conducted by documents, telephone, videoconference, or an in-person hearing as permitted by the applicable rules.

Unless applicable law or the administrator’s rules require otherwise, an in-person hearing will take place in Wichita County, Texas.

Each party will bear its own attorneys’ fees and costs unless a statute, rule, or arbitration award provides otherwise. Arche Research will pay arbitration fees that applicable law requires it to pay.

Exceptions

Either party may:

  • Bring an individual action in a court legally qualifying as small-claims court;
  • Seek temporary or preliminary injunctive relief to prevent immediate misuse of intellectual property, fraud, unauthorized access, or unlawful dissemination;
  • Pursue collection of an undisputed payment obligation; or
  • Report conduct to a government agency.

Agency complaints do not waive the arbitration agreement for private monetary claims.

33. Class-Action and Jury-Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND ARCHE RESEARCH AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY.

Neither party may participate as a plaintiff, claimant, or class member in any purported:

  • Class action
  • Collective action
  • Coordinated action
  • Consolidated action
  • Mass arbitration
  • Representative action
  • Private-attorney-general action

If a final judicial decision determines that the class-action waiver cannot be enforced for a particular claim or remedy, that claim or remedy will proceed in court after all arbitrable matters are completed.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES THE RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE THAT IS NOT SUBJECT TO ARBITRATION.

34. Arbitration Opt-Out

You may opt out of the arbitration agreement by sending a personally signed written notice within 30 calendar days after first accepting these Terms.

The notice must include:

  • Your full legal name;
  • Organization name, if applicable;
  • Mailing address;
  • Email address used for the Order or account;
  • A clear statement that you opt out of the arbitration agreement; and
  • Your handwritten or valid electronic signature.

Opting out of arbitration does not opt you out of any other provision of these Terms.

An opt-out applies only to the person or entity identified in the timely notice.

35. Governing Law and Court Venue

These Terms and any dispute not subject to arbitration are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where federal law controls.

Subject to applicable jurisdictional requirements, the exclusive venue for a dispute not subject to arbitration will be the state or federal courts serving Wichita County, Texas.

You consent to personal jurisdiction in those courts and waive objections based on venue or inconvenient forum, to the maximum extent permitted by law.

36. Time Limit for Claims

To the extent permitted by law, a claim arising from or relating to these Terms, the Website, an Order, or a Product must be commenced within one year after the claimant knew or reasonably should have known of the facts giving rise to the claim.

This provision does not shorten a limitations period when applicable law prohibits contractual shortening.

The claim periods in the Returns, Refunds & Shipping Claims Policy remain applicable to commercial requests for refunds, replacements, credits, damage claims, shortages, and fulfillment corrections.

37. Termination

Arche Research may suspend or terminate access, cancel unfulfilled Orders, or refuse future transactions when we reasonably believe that you:

  • Violated these Terms;
  • Provided false or misleading information;
  • Engaged in prohibited use;
  • Created legal or regulatory risk;
  • Misused a payment or claim process;
  • Threatened security or operations;
  • Infringed intellectual property;
  • Harassed personnel; or
  • Participated in fraud, diversion, or unlawful activity.

Termination does not eliminate obligations or liabilities arising before termination.

Sections concerning payment, research-use restrictions, intellectual property, warranties, liability, indemnification, disputes, governing law, and enforcement survive termination.

38. Changes to These Terms

We may modify these Terms by posting an updated version with a revised “Last updated” date.

Unless immediate changes are required by law, security concerns, fraud prevention, or urgent operational needs, material changes apply prospectively.

The Terms in effect when an Order is accepted generally govern that Order, except where:

  • The parties agree otherwise;
  • A change is required by law;
  • A later policy provides a purchaser with more favorable rights; or
  • A continuing Website or account use is governed by updated terms.

Continued use after updated Terms become effective constitutes acceptance of those Terms.

39. Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent from Arche Research.

Arche Research may assign these Terms in connection with a reorganization, sale, transfer of assets, merger, financing, or change in control.

Any prohibited assignment is void to the extent permitted by law.

40. Severability

If a provision is held invalid, illegal, or unenforceable, it will be enforced to the maximum extent permitted and modified only as necessary to make it enforceable.

The remaining provisions will remain in effect.

The arbitration and class-action provisions are subject to the more specific severability rules stated in those sections.

41. No Waiver

Failure to enforce a provision does not waive the right to enforce it later.

A waiver is effective only if it is in writing and signed by an authorized representative of Arche Research.

A waiver concerning one event does not waive another event.

42. No Third-Party Beneficiaries

Except for parties expressly protected by the warranty, liability, release, and indemnification provisions, these Terms do not create rights in any third party.

43. Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, agency, fiduciary relationship, employment relationship, franchise, distributorship, or exclusive arrangement.

You have no authority to bind Arche Research.

44. Order of Precedence

If a conflict exists among applicable documents, the following order controls unless expressly stated otherwise:

  1. A separately signed written agreement;
  2. Order-specific written terms expressly accepted by Arche Research;
  3. These Terms of Service;
  4. The Returns, Refunds & Shipping Claims Policy;
  5. The Privacy Policy;
  6. Other Website content.

A Product description does not override these Terms unless it expressly states that it modifies a specific provision.

45. Entire Agreement

These Terms, together with incorporated policies and accepted Order-specific terms, constitute the entire agreement concerning the Website and Orders.

They supersede prior or contemporaneous communications, proposals, discussions, representations, and understandings concerning the same subject matter.

46. Headings and Interpretation

Headings are for convenience only.

“Including” means “including without limitation.”

The singular includes the plural and vice versa when context permits.

These Terms will not be interpreted against either party merely because one party drafted them.

47. Contact and Legal Notices

Questions concerning these Terms may be submitted through the Contact page or the official contact information displayed on the Arche Research Website.

Legal notices must:

  • Be in writing;
  • Identify the sender;
  • Include relevant Order information;
  • Describe the subject of the notice; and
  • Be delivered through the legal-notice method designated by Arche Research.

Operational customer-service communications do not constitute formal legal notice unless expressly acknowledged as such by Arche Research.
